YogSpace Instructor Agreement
1. Parties
1.1 This Instructor Agreement ("Agreement") is between YOGSPACE LTD, trading as YogSpace, a company registered in England and Wales under company number 17485142, whose registered office is at 128 City Road, London EC1V 2NX, United Kingdom ("YogSpace", "we", "us"), and the individual who accepts it when signing up or in the app ("Instructor", "you").
1.2 You can contact us at support@yogspace.com or at our registered office.
2. Definitions
- Platform: the YogSpace website and app.
- Session: a live, one-to-one online yoga Session booked by a Student through the Platform and delivered through the Platform's video tools.
- Student: a user who books a Session through the Platform.
- Session Price: the price you set for a Session, shown to Students on the Platform. It does not include the booking fee that YogSpace charges Students.
- Earnings Wallet: your YogSpace earnings ledger, credited for completed Sessions and debited when you withdraw.
- Verification: the credential review described in section 3.
3. Eligibility and credentials
3.1 You confirm that you are at least 18 years old and that you hold a current RYT-500 (or higher) registration with Yoga Alliance, or an equivalent credential we approve in writing, and that everything you tell us about your qualifications, experience and identity is true.
3.2 Your application is reviewed by our team and may be pending, under review, approved, waiting for more information or rejected. We may use automated checks to prepare the review, but a person makes the final decision. If we need more information, we will tell you what is missing.
3.3 You must keep your credentials current and tell us straight away if any of them lapse, are suspended or are withdrawn. We may suspend or remove your approval if your credentials lapse or were misrepresented, or if you break this Agreement.
4. Your Sessions
4.1 You provide live, one-to-one yoga instruction to Students who book you, at the times you make available in your Platform calendar. You decide how to teach, within this Agreement and our policies.
4.2 Sessions take place on YogSpace's video tools (Daily or Zoom), not your own accounts. You are the host of the Session room for that booking only. You may not export or reuse the meeting infrastructure, or Student contact details obtained through it.
4.3 You are responsible for the quality and safety of your instruction, including adapting it to any condition, injury or pregnancy a Student tells you about.
5. Scope of practice and safety
5.1 You teach yoga. You must not diagnose, treat or claim to cure any medical condition, give medical advice, or describe your Sessions as medical treatment or therapy that replaces healthcare. Our Medical Disclaimer applies to every Session.
5.2 If a Student describes symptoms or a condition that needs medical assessment, or if you are not qualified or comfortable to teach them safely, you must tell them to see their doctor before continuing, and you may decline or stop the Session. Tell us if you do.
5.3 Your profile, bio and messages must describe your qualifications and experience accurately. Do not use the words "therapy", "treatment", "medical" or similar to describe your Sessions unless you hold a recognised qualification that allows it and we have approved that wording.
5.4 YogSpace is for adults only. Do not teach anyone who appears to be under 18. End the Session and tell us if a child takes part.
5.5 You must not record, photograph or screenshot a Session, or share a Student's image or voice, without the Student's clear consent.
6. Fees and commission
6.1 During the current beta, commission is 0%. We will give you at least 30 days' written notice before we start charging commission.
6.2 Once commission applies, your rate depends on your trailing 30-day Session revenue ("GMV"):
| Tier | Your trailing 30-day GMV | Commission rate |
|---|---|---|
| Tier 1 | $0 to $1,999 | 26% |
| Tier 2 | $2,000 to $4,999 | 22% |
| Tier 3 | $5,000 to $9,999 | 19% |
| Tier 4 | $10,000 and above | 16% |
Your tier is recalculated automatically and can move up or down. Founding Instructors keep the Tier 4 rate under the Founding Instructor Programme Terms.
6.3 The commission rate in force when a Session is booked applies to that Session.
6.4 The booking fee that Students pay belongs to YogSpace and is not part of your earnings.
7. Payments and your Earnings Wallet
7.1 You appoint YogSpace as your limited commercial agent to agree Sessions with Students on your behalf and to collect payment for them. A Student's payment to YogSpace settles the Student's debt to you for that Session. YogSpace uses Stripe as its payment processor; neither Stripe nor you is the seller of record for the booking fee.
7.2 Your earnings (Session Price less any commission) are credited to your Earnings Wallet once the Session is confirmed as completed, subject to section 8 (cancellations) and any open dispute.
7.3 You can withdraw available funds using the payout methods offered in the app for your country (currently Stripe or Wise), subject to: (a) the minimum withdrawal amount shown in the app, (b) our identity and bank-detail checks, including those of our payout providers, and (c) a hold while a dispute about the Session is open.
7.4 If a payout fails or is delayed, including because of a legal or regulatory requirement on our side, we will tell you and work in good faith to resolve it. A delay does not take away your right to the funds.
7.5 Tax. You are responsible for declaring and paying tax on your earnings, and for complying with any foreign exchange and tax reporting rules where you live (for example FEMA, RBI and FIRC requirements if you are in India). We may need to collect tax information from you (such as your tax identification number, date of birth and address) and report your earnings to tax authorities, including HM Revenue & Customs under the UK reporting rules for digital platforms, which may share it with the tax authority where you live. You agree to give us accurate information when we ask for it.
8. Cancellations, rescheduling and no-shows
8.1 Students' cancellation and rescheduling rights are set out in our Refund & Cancellation Policy. The rules shown when a Session is booked apply to it. We may change those rules for future bookings with notice to you.
8.2 If a Student cancels before the cut-off, the Student is refunded in full and you are not paid for that Session. If the Student cannot cancel because the cut-off has passed, you are paid as normal.
8.3 If you need to cancel, you can do so only before the cut-off. After the cut-off, or after you have rescheduled a Session once, you can only reschedule it, not cancel it. The Student is refunded in full whenever you cancel.
8.4 If you reschedule, you must choose a genuinely open time. The Student can decline the new time for a full refund until the original start time; if they do, you are not paid for that Session.
8.5 If you do not show up, the Student can report it 15 minutes after the start time and is refunded in full automatically, and the amount is deducted from your Earnings Wallet. If you think a report was wrong, you can dispute it under section 13.
8.6 If a Student does not show up, you are paid for the Session. Tell us through the app so we can follow up.
8.7 Reliability. We track your rate of cancellations and declined reschedules over a rolling 90-day period. If it is too high once you have had enough bookings for the rate to be meaningful, your profile is temporarily hidden from new Students in search until your rate improves. Existing Students can still book you. Serious or deliberate misuse of cancellations may lead to action under section 12.
9. Keeping bookings on the Platform
9.1 You must not ask for or accept payment from a Student outside the Platform for Sessions with a Student you met through YogSpace, or encourage a Student to contact you off the Platform to avoid commission, while you teach on YogSpace and for 12 months after your last paid Session with that Student.
9.2 Messages on the Platform are automatically checked for contact details, links and off-platform payment requests, and flagged messages may be reviewed by our team. A serious or repeated breach of this section may lead to termination under section 12. It does not allow us to take back earnings you properly earned from other Sessions.
9.3 This section does not apply to Students you taught before joining YogSpace, if you told us about them when you joined.
10. Independent contractor
10.1 You are an independent contractor, not an employee, worker, partner or agent of YogSpace (except for the limited purpose in section 7.1). You decide whether and when to make yourself available, how to teach, and whether to accept any booking, and you are free to teach elsewhere.
10.2 You are responsible for your own equipment, internet connection, tax, social security contributions and any registrations or licences you need to teach where you live.
11. Student data and intake health information
11.1 Who controls the data. YogSpace is the controller of the personal data of Students on the Platform, including the answers Students give on the booking intake and any health information they share (for example pain, injuries or pregnancy). YogSpace decides which questions are asked, collects and stores the answers, and decides who can see them and for how long.
11.2 Your role. You receive a Student's name, booking details and intake answers, including health information where the Student has given explicit consent, as a recipient acting on YogSpace's behalf and on its instructions. You may use them only to prepare and deliver the Session the Student booked with you. The Platform shows you a Student's health answers only for that booking, until 24 hours after the Session ends.
11.3 Rules for intake data. You must:
(a) not copy or export intake data: no screenshots, photos, downloads, printing, copying into notes, other apps, messaging services, email or cloud storage, and no sharing it with anyone else;
(b) not use it for anything else: not for marketing, research, contacting the Student outside the Platform, other clients, or any purpose other than the booked Session;
(c) delete it after the Session: if, despite (a), any intake data ends up outside the Platform (for example a note you wrote during the Session), delete it as soon as the Session has ended, and in any case within 24 hours;
(d) report any loss or leak to YogSpace within 24 hours of becoming aware of it, by email to support@yogspace.com with "Data incident" in the subject, saying what happened, which Students are affected and what you have done about it, and then follow our instructions;
(e) keep it confidential, view it only on devices that are protected by a screen lock and kept up to date, and make sure no one else can see your screen when you read it;
(f) tell us straight away if a Student asks you to see, correct or delete their data, and help us respond; do not respond yourself;
(g) not pass it to anyone else to process for you;
(h) answer our reasonable questions about how you handle Student data and confirm in writing that you comply with this section when we ask.
11.4 Data protection law. You must comply with the data protection laws that apply to you. Where you are outside the United Kingdom and the European Economic Area, you and YogSpace agree that the EU Standard Contractual Clauses (Commission Implementing Decision (EU) 2021/914, Module Two, controller to processor) and the UK International Data Transfer Addendum issued by the Information Commissioner apply to the Student personal data made available to you, and are incorporated into this Agreement by reference, with YogSpace as data exporter and you as data importer. For those clauses: the processing is described in this section 11; the technical and organisational measures are those in 11.3; Option 1 of clause 9 (specific prior authorisation) applies and YogSpace authorises no sub-processors; the governing law and courts are those of Ireland for the EU clauses and England and Wales for the UK Addendum.
11.5 A breach of this section 11 is a serious breach of this Agreement and may lead to immediate termination under section 12.3, in addition to any other remedy.
11.6 Our Privacy Policy explains how YogSpace handles your own personal data.
12. Term and termination
12.1 This Agreement starts when you accept it and continues until either of us ends it.
12.2 You can stop offering Sessions and close your account at any time. You must still teach, or cancel in line with section 8, any Sessions already booked.
12.3 We may suspend or end your access straight away for: misrepresenting credentials, a safety concern, teaching outside your scope of practice, harassment or misconduct, breach of section 9 or section 11, fraud, or serious or repeated breaches of our policies. We will tell you why unless the law or a safety reason prevents it. We may end this Agreement for any other reason with 30 days' notice.
12.4 When this Agreement ends, your available earnings remain payable under section 7, less any amounts owed for refunds or disputes on Sessions you taught. Sections 7.5, 9, 11 and 14 continue to apply.
13. Disputes with Students
13.1 Disputes raised by a Student about your Session go through our dispute process. Earnings linked to that Session may be held until it is resolved.
13.2 We will tell you when a dispute naming you is opened and give you the chance to respond before we decide.
14. Liability and insurance
14.1 We strongly recommend that you hold professional indemnity and public liability insurance that covers online one-to-one teaching, including prenatal and injury-adapted classes, in the countries where your Students are. We may make insurance a requirement for some specialties, such as prenatal yoga, with notice to you.
14.2 You are responsible for claims arising from your own instruction, conduct or breach of this Agreement.
14.3 Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud, or any other liability that cannot be limited by law. Otherwise, YogSpace's total liability to you under this Agreement is limited to the greater of the commission you paid us in the 12 months before the claim and £500, and neither party is liable for indirect losses or loss of profit.
15. General
15.1 This Agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except as stated in section 11.4.
15.2 We may update this Agreement. We will give you at least 30 days' notice of changes that are not in your favour, unless the law or a safety reason requires a change sooner. If you do not agree, you can stop teaching before the change takes effect. We may ask you to accept the updated Agreement in the app before you can take new bookings.
15.3 This Agreement, together with our Terms of Service, Privacy Policy, Medical Disclaimer, Refund & Cancellation Policy and, if you join it, the Founding Instructor Programme Terms, is the entire agreement between us about teaching on YogSpace.
15.4 If a court finds part of this Agreement invalid, the rest stays in force.
By accepting this Agreement in the app, you confirm that you have read, understood and agree to it.
